1. Agreement to these Terms
1.1 Parties. These Terms of Service (“Terms”) are an agreement between you and Mark Luft, a sole proprietor doing business as EZ²-Inspect (“Company,” “we,” “us,” or “our”), the provider of the EZ²-Inspect web application (the “App”). These Terms govern your access to and use of the App, the website at https://ez2-inspect.com, and the related services we make available (together, the “Services”).
1.2 Acceptance. By checking the box to agree to these Terms when you sign in, starting a free trial, purchasing a subscription, or otherwise using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.
1.3 Organizations. If you use the Services for a property owner, employer, management company, or other organization, you represent that you are authorized to accept these Terms for that organization. In that case, “you” includes both you as an individual user and the organization, and the organization is responsible for its users’ compliance with these Terms.
1.4 Privacy Policy and order terms. Our Privacy Policy at https://ez2-inspect.com/privacy is incorporated into these Terms by reference. The price, billing frequency, and renewal terms shown to you at checkout or on an invoice also form part of these Terms for that purchase.
1.5 Mandatory law. If a provision of these Terms conflicts with a legal requirement that cannot be changed by agreement, the legal requirement controls to the extent of the conflict.
2. Eligibility and authorized use
2.1 Eligibility. You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. The Services are intended for landlords, property owners, property managers, maintenance personnel, and other authorized people documenting rental-property conditions in a business or property-management context in the United States.
2.2 Authority. You may use the Services only for properties and purposes for which you have appropriate authority. If you are an organization’s administrator, you are responsible for deciding who may access the App and for promptly removing access when a person no longer needs it.
3. What EZ²-Inspect does and does not do
3.1 Documentation tool. EZ²-Inspect is a documentation tool that helps users photograph and record observed rental-property conditions and turn them into reports to print or save. Its documentation functions are: (a) Move-Ins: recording observed conditions at or near the beginning of a tenancy. (b) Move-Outs: recording observed conditions when a tenant vacates and returns possession. (c) Turns: recording conditions, cleaning, maintenance, and repair work between tenancies. (d) Evictions: recording observed conditions after a sheriff lockout returns possession and noting whether personal property was left behind. (e) Repairs: recording repair projects over one or more visits, including photographs, notes, and labor and material entries. (f) Inspections: recording observations made during routine, maintenance-related, or other property inspections. (g) Memos: recording notes and photographs about property conditions not tied to one unit. (h) Incident reports: recording facts, statements, and photographs about incidents on the property.
3.2 User-supplied information. Available features may change over time. The App records information supplied or captured by users and organizes it into reports. It does not independently verify the truth, completeness, or accuracy of that information. Labor hours, rates, material costs, and totals shown in the App are entered by you or calculated from what you enter; the App does not estimate, verify, or recommend repair costs.
3.3 Not legal or professional advice. The App is not a law firm, legal service, accounting service, property-management service, inspection certification, or repair-cost estimator. It does not determine who caused damage, whether a condition is normal wear and tear, whether a tenant is legally responsible, what repairs are reasonable, what amount may lawfully be charged or deducted, or whether a landlord has satisfied a legal requirement.
3.4 Eviction reference date. When you record that personal property was left behind after a sheriff lockout, the App displays a date 15 days after the lockout date and time you enter, labeled as a reference date. The 15-day period reflects the period described in the standard California writ of possession. The date is a reminder only and is calculated solely from the information you enter. It does not determine whether property is abandoned, whom you must notify, when or how notices must be given, how long property must be stored, what storage costs may be charged, or when property may be released, sold, or disposed of. Those matters depend on the writ, the notices given, the delivery method, the facts, and applicable law, including California Code of Civil Procedure section 1174 and California Civil Code sections 1980 through 1991. Confirm every date against your writ and with qualified counsel before acting. We are not responsible for any decision you make, or any action you take or do not take, in reliance on the reference date.
3.5 No guarantee of legal effect. The App does not guarantee that any photograph, timestamp, GPS location, comment, checklist, export, or report will be complete, accurate, admissible, persuasive, or accepted by a tenant, court, agency, insurer, or other person. Use of the App does not guarantee compliance with California Civil Code section 1950.5 (including the photograph requirements added by Assembly Bill 2801 (2024)), local ordinances, or any other law.
3.6 Your legal obligations. You are solely responsible for determining and meeting your legal and contractual obligations, including any required notices, inspections, photographs, timing, itemized statements, receipts, estimates, tenant communications, record retention, and deadlines. You should consult qualified counsel about your specific obligations.
3.7 Photo stamps and time check. Photo stamps use the date and time provided by your device and, if you turn it on, location information from your device. When an internet connection is available, the App compares the device clock with an internet time source and flags photographs taken while the device clock appeared to be off by more than two minutes. These functions do not independently authenticate a photograph or prove when or where it was taken, and they may be affected by device settings, connectivity, permissions, hardware, software, or other conditions.
3.8 Incident reports. The incident-report form helps you record facts, the people involved, witness statements, and photographs in an organized way. It does not determine what caused an incident, who is at fault, whether anyone is liable, or whether insurance coverage applies. It is not a substitute for calling emergency services or the police, and it does not satisfy any duty you may have to notify an insurer, government agency, employer, or other person, or to file a workers’ compensation, workplace-safety, or police report. You are responsible for any such notices and filings.
3.9 Statement confirmations and signatures. When a person types their name and taps the confirmation button, the App records the name typed and the device date and time; a finger signature, if added, is saved as an image. These features do not verify the person’s identity, the truth of the statement, or that it was given voluntarily, and they are not a notarized, sworn, or certified signature. Whether a confirmation or signature has any legal effect depends on the circumstances and applicable law.
3.10 The “Confidential” label. Incident reports print with a “Confidential” label as a reminder to limit who sees them. The label does not by itself make a report privileged, protect it from disclosure in a lawsuit or investigation, or create a confidentiality obligation on our part.
3.11 Ask by text. The Ask by text feature opens the messaging app on your device with a suggested request already filled in. You decide whether to edit and send it. Messages are sent through your phone and mobile carrier; we do not send, receive, read, or store them. You are responsible for obtaining any necessary permission to contact recipients, complying with applicable messaging and privacy laws, and ensuring that any statement you make about how information may be shared is accurate. Preserve original messages if you intend to rely on them.
4. Accounts, licenses, and device security
4.1 Accounts. To use the App you create an account with your email address. You sign in with a one-time code we send to that address; there is no password. Keep your email address current and secure, because anyone who can read your email can sign in to your account. You are responsible for the security of your device and email account and for activity performed through your account, except to the extent caused by our own breach of these Terms or other legally actionable conduct.
4.2 Licenses and devices. Each license is for one named person. That person may use the App on up to two devices at a time; signing in on a third device signs out the device used least recently. A license may not be shared among several people.
4.3 License checks. When your device is online, the App checks with our servers that your trial or subscription is active. The check sends your account and device identifiers and the App version, and never Your Content. If your device stays offline, the App continues to work for up to 30 days after its last successful check; after that, it needs an internet connection before you can create new reports.
4.4 Company accounts. An organization may buy several licenses on one company account. The organization designates an administrator, who assigns licenses to named people by email address, can see each assigned person’s name, email address, and last check-in date, and can revoke a license and reassign it to someone else at no charge. Licenses belong to the organization, not to the individual user. Revoking a license stops future access after the device’s next license check; it does not retrieve or erase content already on that person’s device.
4.5 Departing users and security issues. If an employee, contractor, or other authorized user leaves your organization or no longer needs access, the organization is responsible for revoking that person’s license and for securing any reports already printed, saved, or shared and any content still on that person’s device. You must notify us promptly at support@ez2-inspect.com if you suspect unauthorized access to your account or a security issue with the Services.
5. Free trial, subscriptions, billing, and cancellation
5.1 Free trial. New users receive one free 14-day trial of the full App, counted from the day the account is created. One trial is available per person and per organization. No payment information is required to start a trial, and a trial never converts to a paid subscription automatically: when it ends, you are not charged. To continue creating new reports, you must choose a plan and enter payment information.
5.2 Plans and prices. Individual plans cost US $3.95 per month or US $34.95 per year, plus applicable taxes. Company plans are yearly plans for two or more licenses; their per-license price depends on the number of licenses purchased and is shown on the checkout page or invoice before you pay.
5.3 Payment. Payments are processed by Stripe, Inc. We do not receive or store your full payment-card or bank-account number; payment information is handled by Stripe under its own terms and privacy practices. You authorize us, through Stripe, to charge the payment method you provide for all fees due under the plan you select. If a payment fails, we or Stripe may retry it. If payment is still not received 7 days after it was due, creating new reports pauses until payment is made; you can still open and print reports for work already on your device.
5.4 Invoiced company plans. Where we agree to invoice a company plan, the invoice is payable within 30 days after its date by the methods stated on the invoice. Licenses become active when the invoice is issued. If an invoice remains unpaid after its due date, Section 5.3 applies as if the payment had failed on the due date.
5.5 Automatic renewal. YOUR PAID PLAN RENEWS AUTOMATICALLY AT THE END OF EACH MONTHLY OR YEARLY TERM, AND THE PAYMENT METHOD ON FILE IS CHARGED THE PRICE THEN IN EFFECT FOR THE SAME TERM, PLUS APPLICABLE TAXES, UNTIL YOU CANCEL. Before you subscribe, the checkout page states the price, the billing frequency, that the plan renews automatically until canceled, and how to cancel, and asks for your express agreement to those terms. After you subscribe, we email you a confirmation with the same information and how to cancel.
5.6 Reminders and price changes. Before each yearly renewal, we email you a reminder, at least 15 days and not more than 45 days before the renewal date, stating the renewal date, the price, and how to cancel. For every paid plan, we email you at least once a year a reminder of the plan, the amount and frequency of the charge, and how to cancel. We will email you notice of any price change at least 7 days and not more than 30 days before it applies to you, stating the new price and how to cancel. If you do not want to pay the new price, you may cancel before it takes effect.
5.7 Cancellation. You may cancel online at any time without contacting us: in the App under Setup → Subscription → Manage subscription (or, for a company account, Team → Manage billing), which opens Stripe’s secure billing page, or through the link in any receipt or reminder email. Cancellation takes effect at the end of the current paid term: it stops the next renewal, and you keep paid access until that term ends. A company account’s administrator cancels for the whole company account.
5.8 Company licenses during the term. A company account has one yearly renewal date for all its licenses. Licenses added during the term are charged a prorated amount for the remainder of the current term and renew with the others. A reduction in the number of licenses takes effect at the next renewal date; licenses that go unassigned during the term are not refunded, except as stated in Section 5.9.
5.9 Refunds. Monthly plans are not refundable for partial months; when you cancel, you keep access until the end of the paid month. For yearly plans, individual or company, you may request a full refund of the initial yearly charge or a yearly renewal charge by emailing support@ez2-inspect.com within 30 days after that charge. When we refund a yearly charge, we cancel that plan and end its paid access. Prorated charges for licenses added during a term are not refundable. After 30 days, yearly charges are not refundable, and cancellation stops future renewals while paid access continues through the paid year. We refund duplicate charges and billing errors. Nothing in this Section 5.9 limits any right to a refund that applicable law provides.
5.10 Taxes. Prices do not include taxes. You are responsible for applicable sales, use, or similar taxes, except taxes based on our net income.
6. Your Content, local storage, and report preservation
6.1 Your Content. “Your Content” means photographs, comments, checklists, notes, memos, incident reports, statements, confirmations, signatures, property information, tenant information, information about other people such as witnesses, reports, and other material you create, capture, enter, or export through the App. As between you and us, you keep your ownership rights in Your Content.
6.2 Content stays on your device. Your Content is designed to remain on your device and is not uploaded to our servers. The App contacts our servers only to load and update the App, to check the device clock against internet time, to sign you in and check your license, to run checkout and billing, and to send anonymous page-view and performance statistics through Cloudflare Web Analytics as described in our Privacy Policy. None of those contacts includes Your Content. We do not provide server-side storage, backups, or recovery of Your Content. If we ever offer an optional feature that uploads content, we will describe it and ask for your permission before any content leaves your device.
6.3 Content you send us. If you voluntarily send photographs, reports, or other content to our support team, we may receive and use that material to respond to your request as described in our Privacy Policy. You confirm that you have the right to share that material with us. Remove tenant and other personal information that we do not need to help you.
6.4 Not a storage service. The App is not a storage, archive, or record-keeping service. It is designed so that photographs are used to create a report, which you then print or save in your own files. Saved work is listed on the App’s Reports screen, where each report shows whether it has been sent or opened for printing. Photographs and saved reports stay on your device until you delete them or use the Reports screen’s option to clear reports marked sent or printed. A “sent” or “printed” status indicates only that a send action was initiated or a print function was opened; it cannot confirm that a report was actually printed, received, or kept.
6.5 Your printed or saved report is your record. Before clearing reports or deleting photographs, confirm that your completed report has actually been saved, printed, or otherwise preserved in your own files. You are responsible for preserving reports for as long as applicable law, contracts, or your business requires, including for security-deposit accounting and disputes.
6.6 Content on your device can be lost. Deleting the App, clearing browser or device data, losing or replacing a device, device damage, operating-system or browser changes, or other events may permanently delete any content still on your device. We cannot recover it. The App’s Export backup feature can move unfinished work to another device; it is a convenience, not a record-keeping system.
6.7 Access after a plan ends. If your trial or paid plan ends, or a payment is overdue as described in Section 5.3, you can still open the App and print or send reports for work already on your device. Creating new photographs, inspections, memos, repairs, or incident reports requires an active trial or paid plan.
6.8 Your responsibility for what you record. You are responsible for deciding what information to record, the lawful basis for collecting it, who may access it, how it is shared, and how long it is kept. Do not enter or photograph information that is not needed for the documentation purpose, particularly sensitive personal information, identity documents, or financial details.
7. Privacy and personal information
7.1 Our information practices. Our Privacy Policy describes the limited personal information we collect, use, disclose, retain, and protect, and explains your choices and rights.
7.2 Personal information in your reports. You are responsible for handling tenant, occupant, employee, contractor, and other personal information in your reports in compliance with the laws that apply to you. This includes making sure you have authority to photograph a unit and record information, limiting access to reports, sharing them only with authorized recipients, and applying appropriate retention and disposal practices. For Your Content, we do not act as your service provider or processor, because we do not receive it.
7.3 Incident reports. Incident reports may contain especially sensitive information, including injury descriptions, medical-care details, witness statements, signatures, and contact details of people who are not tenants. Record only what is reasonably needed for the incident. Do not include Social Security numbers, insurance identification numbers, unnecessary medical records, or financial account information. Photograph an injury only with appropriate permission and authority, and do not photograph children. Keep incident reports secure and share them only with authorized people who need the information, which may include management, property owners, insurers, legal counsel, or authorities as appropriate and lawful.
8. Acceptable use and record integrity
8.1 Prohibited conduct. You agree not to, and not to permit another person to: (a) use the App unlawfully or for a purpose unrelated to authorized documentation; (b) fabricate, materially alter, mislabel, or misrepresent photographs, comments, timestamps, GPS data, checklists, or reports, or knowingly present a record in a misleading way; (c) photograph or record people (especially children), private areas, or personal information without appropriate authority or in violation of applicable law; the App is for documenting property conditions, so keep occupants and visitors out of photographs; (d) use the App to harass, threaten, discriminate against, or unlawfully surveil a tenant, occupant, employee, contractor, or other person; (e) pressure anyone to give, change, confirm, or sign a statement; write or alter a statement after it was confirmed and present it as confirmed; or type a person’s name or add a signature on their behalf; (f) access an account, property, device, or record without authorization; (g) copy, modify, reverse engineer, decompile, resell, sublicense, or exploit the App, except as permitted by law or with our written permission; (h) interfere with the security, availability, or operation of the Services, or introduce malware or other harmful code; (i) circumvent license, device, or subscription limits, or share access outside your organization or plan permissions; or (j) use reports or our name to imply that we certified a property condition, approved a deduction, or verified the truth of a record.
8.2 Reviewing reports. You are responsible for reviewing each report before relying on it or sharing it. If the App warns you about a clock discrepancy or another data issue, you are responsible for considering that warning and not misrepresenting the affected record.
9. Third-party services
9.1 Our providers. The Services rely on third-party services, including Cloudflare, Inc., which hosts the website and App, stores account and license records, supplies the internet time used for the time check, and provides cookie-free web analytics; Stripe, Inc., which processes payments and hosts the checkout and billing pages; our email delivery provider, which sends sign-in codes, receipts, and reminders; and Zoho Corporation, which handles email you send to our support address.
9.2 Their terms apply. Those services are governed by their own terms and privacy policies. Services you choose to use with the App, such as your email, messaging, printing, or cloud-storage services, are governed by your own agreements with those providers. We do not control third-party services and are not responsible for their independent acts or omissions, except to the extent applicable law provides otherwise.
10. Our intellectual property and feedback
10.1 Ownership and license. The App, its software, design, user interface, name, logo, and original materials, including its inspection checklists and report formats, are owned by the Company or its licensors and are protected by intellectual-property laws. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to use the App for your own internal business or property-management purposes while your access is authorized. We reserve all rights not expressly granted.
10.2 Reports you create. You may print, copy, and share reports created with the App, including the checklist and report formats that appear in them, for your own property-management, legal, and insurance purposes.
10.3 Feedback. If you send us suggestions or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate them without payment or obligation to you. This does not transfer ownership of Your Content.
11. Changes to the Services or these Terms
11.1 Changes to the Services. We may update, modify, suspend, or discontinue features of the Services. We will not make a change that materially reduces the core documentation features of a paid plan during its current paid term unless the change is required by law, security, or a third-party provider, in which case Section 12.3 applies if you choose to cancel.
11.2 Changes to these Terms. We may update these Terms from time to time. For material changes, we will show you the updated Terms in the App and ask you to accept them before you continue, and the change will apply from that acceptance. Other changes take effect when we post the updated Terms. The Effective Date and version shown at the top of these Terms identify the current Terms. Price changes are governed by Section 5.6.
12. Suspension, termination, and records after access ends
12.1 By you. You may stop using the Services and cancel your subscription at any time as described in Section 5.7.
12.2 By us for cause. We may suspend or end your access if we reasonably believe you have materially violated these Terms, failed to pay amounts due, created a security or operational risk, or used the Services unlawfully. Where reasonable, we will tell you the reason and give you an opportunity to fix the problem first. If we end your access under this Section 12.2, fees already paid are not refundable, except as stated in Section 5.9 or required by law.
12.3 Discontinuing the App. If we decide to stop offering the App, we will give you reasonable advance notice where possible and refund the unused portion of any prepaid yearly fee.
12.4 Records after access ends. Because Your Content stays on your device, ending your access does not delete content still on your device or reports you have printed or saved. Print or save the reports you need before deleting the App or losing access.
13. Disclaimers
13.1 As is. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2 No guarantee of results. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH EVERY DEVICE OR BROWSER; THAT CONTENT ON YOUR DEVICE WILL NEVER BE LOST; THAT ANY DATE, TIMESTAMP, LOCATION, OR CALCULATION SHOWN IN THE APP IS CORRECT FOR YOUR LEGAL PURPOSES; OR THAT ANY REPORT WILL BE LEGALLY SUFFICIENT OR ADMISSIBLE IN COURT.
14. Limitation of liability
14.1 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST RENT, LOSS OF DATA OR PHOTOGRAPHS, SECURITY-DEPOSIT DISPUTES, PENALTIES OR AWARDS IN LANDLORD-TENANT PROCEEDINGS, OR FAILURE TO MEET A LEGAL DEADLINE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
14.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID THE COMPANY FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.
14.3 Exceptions. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILLFUL INJURY, GROSS NEGLIGENCE, VIOLATION OF LAW, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING UNDER CALIFORNIA CIVIL CODE SECTION 1668.
14.4 Basis of the bargain. The disclaimers and limits in Sections 13 and 14 reflect a reasonable allocation of risk and are an essential basis of the low prices we charge. They apply to claims in contract, tort (including negligence), or any other theory.
15. Indemnification
15.1 Your indemnity. To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company from and against third-party claims, and the resulting losses, damages, settlements, and reasonable attorneys’ fees and costs, arising from (a) your unlawful use of the Services, (b) your material violation of these Terms, or (c) Your Content, including how you collected, used, shared, or relied on it.
15.2 Procedure. We will notify you promptly of any claim for which we seek indemnity, although a delay in notice relieves you of your obligation only to the extent the delay prejudices you. You may control the defense with counsel reasonably acceptable to us, and we may participate with our own counsel at our own expense. You may not settle a claim in a way that admits fault for us or imposes an obligation on us without our written consent.
16. Governing law and disputes
16.1 Governing law. These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the State of California, without regard to its conflict-of-law rules.
16.2 Informal resolution first. Before starting a court case, you and we agree to try to resolve any dispute informally. The party with the concern will send a written notice describing the issue and the resolution requested, by email to support@ez2-inspect.com if you are sending it, or to the email address on your account if we are. We will both try in good faith to resolve it within 30 days after the notice is received. This does not apply to requests for urgent court orders to stop unauthorized use of the Services or of either party’s intellectual property.
16.3 Small claims court. Either of us may bring a qualifying claim in small claims court in the county where you live or in Fresno County, California.
16.4 Courts. Any other dispute will be decided only by the state or federal courts located in Fresno County, California, and you and we consent to the personal jurisdiction of those courts. If you use the Services primarily for personal, family, or household purposes and the law gives you the right to bring or defend a claim in another county, this Section 16.4 does not affect that right.
16.5 Rights that cannot be waived. Nothing in this Section 16 limits any right you have under laws that cannot be waived by agreement.
17. Electronic communications and notices
17.1 Consent to electronic communications. You agree that we may provide these Terms, sign-in codes, receipts, renewal reminders, price-change notices, and other notices to you electronically, by email to the address on your account or in the App, and that electronic notices satisfy any requirement that they be in writing. Keep your account email address current; a notice sent to that address is treated as received when sent.
17.2 Notices to us. Send legal notices to us by email to support@ez2-inspect.com, with a copy by mail to the address in Section 20.
18. Notice to California users
Under California Civil Code section 1789.3, California users are entitled to the following information. The Services are provided by Mark Luft, doing business as EZ²-Inspect, at the address in Section 20. Current prices are stated in Section 5.2 and on our website. To resolve a complaint or receive further information about the Services, contact us at support@ez2-inspect.com. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
19. General provisions
19.1 Entire agreement. These Terms, the Privacy Policy, and the purchase terms described in Section 1.4 are the entire agreement between you and us regarding the Services and supersede any prior understanding about the same subject.
19.2 Severability and waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
19.3 Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an entity we form to operate the App, or in connection with a merger, acquisition, or sale of all or part of our business or the App, on notice to you.
19.4 Events beyond our control. We are not responsible for delay or failure to perform caused by events beyond our reasonable control, including outages of internet, hosting, payment, or email providers, natural disasters, and acts of government.
19.5 Relationship and interpretation. Nothing in these Terms creates a partnership, employment, agency, or fiduciary relationship. There are no third-party beneficiaries of these Terms. Headings are for convenience only, and “including” means “including without limitation.”
19.6 Survival. Provisions that by their nature should survive termination, including Sections 3, 6, 10, and 13 through 19, survive to the extent permitted by law.
